End-User Licence Agreement — UnderStack Code

This agreement is between you and UnderStack, CVR 46327608, Aarhus, Denmark ("we"). It applies to UnderStack Code, its updates and its documentation (the "Software"). By installing or using the Software you accept it. If you bought the Software as a consumer, your mandatory consumer rights (including those in the Terms of Sale) are not limited by this agreement.
1. Licence
We grant you a non-exclusive, non-transferable licence to install and use the Software on up to 2 Macs that you own or control, for an unlimited period (perpetual licence). A licence bought by a company may be used by one named person at a time. You may use the Software for personal and commercial work, and you own what you create with it (see section 5).
2. What you may not do
- Share, sell, rent or publish your licence key or the Software, or let others use it beyond section 1.
- Remove or bypass licence checks, the approval and permission system, or the AI-generation marking of images.
- Decompile or reverse-engineer the Software, except to the extent the law allows it (for example to achieve interoperability) and cannot be excluded by contract.
- Use the Software to break the law, to develop malware or attack systems you are not authorised to test, to harm others, or to create deceptive content (for example deepfakes presented as real).
3. Open-source components
The Software contains open-source components. Their licences, listed in Settings › About & legal and in the bundled notices, apply to those components and take precedence over this agreement where they conflict.
4. AI models and third-party services
The Software works with AI models that it downloads on your request (for example OpenAI gpt-oss, Google Gemma and Tongyi-MAI Z-Image) and with optional online services (for example Brave Search, Vercel, Hugging Face, Ollama). They are provided by third parties under their own terms, which you accept when you download or use them — in particular the Gemma Terms of Use and Gemma Prohibited Use Policy (ai.google.dev/gemma/terms) and the gpt-oss usage policy. We are not responsible for those models and services, their availability or their terms.
5. Your content and AI output
Your projects, prompts, files and outputs stay on your Mac and remain yours. We do not receive them and claim no rights in them. AI output may be incorrect, insecure, biased or similar to existing works; you are responsible for checking it and for how you use it. If you publish generated images or text that could be mistaken for real people, places or events, you may be required by law to disclose that they are AI-generated (for example EU AI Act art. 50(4) when you publish them as part of a professional activity). Do not remove the AI-generation metadata from generated images when you pass them on.
6. Actions on your computer
The Software can read and edit files in the folders you allow, run commands, browse the web and publish previews — always inside the permission rules shown in the app, and only after your approval where the app says so. You are responsible for the approvals you give and for keeping backups. Do not give the Software access to folders, accounts or systems you are not allowed to use.
7. Updates and support
We provide security updates until at least 31 December 2031 and bug-fix updates as described in the Terms of Sale. Updates may change features; they will not remove essential functions you paid for, except where required by law or security. Support: dev.team@understack.dk.
8. Privacy
The Software has no telemetry and does not send your data to us. See the Privacy Policy for the features that contact the internet.
9. Warranty and liability
Consumers: your statutory rights (legal guarantee for conformity, 2 years) apply as described in the Terms of Sale.
Business users: the Software is provided as described in the documentation; beyond that, and to the extent the law allows, we give no warranty that it is error-free or fit for a particular purpose. Our liability is limited as set out in section 10 of the Terms of Sale.
We are not liable for losses caused by AI output you approved or used, by third-party models or services, or by missing backups, unless we acted with intent or gross negligence. Nothing limits liability that cannot be limited by law, including under product liability law.
10. Termination
This licence ends automatically if you seriously breach it, for example by sharing your licence key. You must then uninstall the Software. Sections 3–5, 9 and 11 survive termination.
11. Law
Danish law applies. Consumers resident in another EU country keep the protection of the mandatory rules of their country and may sue in their courts. Otherwise the courts of Aarhus have jurisdiction.
